Incorporation Process:
1. If you would like us to incorporate your company, please provide the following information to us via email, WhatsApp, Viber, or post.
• Name of the Proposed Company (Explain any abbreviations)
• Registered address of the proposed company
• Grama Niladhari division of the registered address
• Company email address
• Initial Directors’/Shareholders’ Name, Residential Address, NIC/Passport No. (Copy required), email address, Telephone/Mobile, and number of shares per each shareholder.
2. After receiving the above information, we will send you an email stating the Sinhala name of the company. Please approve the Sinhala name, and we will also request the first advance payment in our account to apply for the name search.
3. After receiving your first advance, we will apply for a company name search by paying Rs. 2,768.28 to the ROC. The ROC typically approves the name within two or three working days.
4. Once your company name is approved, you are required to incorporate the company within three months.
5. We will then send the necessary documents for signatures and request the Final payment for incorporation. ROC charges, including VAT at 18% and a 2% convenience fee for filing forms and documents, are detailed below.
• Form 01 – Application for registration of a company (ROC Charges - Rs. 5,395.80)
• Form 18 – Notice of Consent and certificate of Director (ROC Charges - Rs. 2,768.28 for one Director)
• Form 19 – Notice of Consent and certificate of Secretary/Secretaries (ROC Charges - Rs. 2,768.28)
• Articles of Association - (ROC Charges - Rs. 2,768.28)
6. Scanned copies of the aforementioned documents in PDF format, with the relevant signatures, should be emailed to us along with the final payment.
7. After receiving the final payment, we will submit the aforementioned documents to the ROC, paying the relevant charges. The ROC typically takes a maximum of 2 to 3 days for the approval of the company.
8. After the company's approval, we will apply for one certified copy of Form 01, which is required for various business activities, by paying Rs. 1,384.14 to the ROC.
9. We will issue certified copies of the relevant documents, along with the board resolution for opening a bank account and two copies of the Articles of Association. These documents will be sent to you using Government Express Mail Services or by courier.
10. We also submit the relevant documents to the Department of Inland Revenue to open a tax file for the company free of charge.
