We are an approved company secretaries firm which was registered as a secretary under the Companies (Secretaries) Regulations 1987 at the Registrar of Companies in Sri Lanka. Accordingly, we undertake to register a Private limited liability companies with the Department of Registrar of Companies in Sri Lanka.

අපි ශ්‍රී ලංකාවේ සමාගම් රෙජිස්ට්‍රාර් කාර්යාලයේ 1987 සමාගම් (ලේකම්වරුන්) රෙගුලාසි යටතේ ලේකම්වරයෙකු ලෙස ලියාපදිංචි වූ අනුමත සමාගම් ලේකම්වරුන්ගේ සමාගමකි. ඒ අනුව, අපි ශ්‍රී ලංකාවේ සමාගම් රෙජිස්ට්‍රාර් දෙපාර්තමේන්තුවේ පුද්ගලික සීමිත වගකීම් සහිත සමාගම් ලියාපදිංචි කිරීමට භාර ගනිමු.

There should be minimum two person for registration of a private limited company. That is one person for company director/Shareholder and one person for Company Secretary. For any Company who is having a turnover of more than Sri Lankan Rupees One Million (Rs. 1,000,000/-) per annul or a Paid up Capital of Sri Lankan Rupees Five Hundred Thousand (Rs. 500,000/-) is required to appoint a qualified Secretary.

පුද්ගලික සීමිත සමාගමක් ලියාපදිංචි කිරීම සඳහා අවම වශයෙන් පුද්ගලයින් දෙදෙනෙකු සිටිය යුතුය. එනම් සමාගම් අධ්‍යක්ෂ/කොටස් හිමියා සඳහා එක් පුද්ගලයෙකු සහ සමාගම් ලේකම් සඳහා එක් අයෙකි. ශ්‍රී ලංකා රුපියල් මිලියනයකට වඩා (රු. 1,000,000/-) වාර්ෂික පිරිවැටුමක් හෝ ශ්‍රී ලංකා රුපියල් පන්ලක්ෂයක (රු. 500,000/-) ගෙවන ප්‍රාග්ධනයක් ඇති ඕනෑම සමාගමක් සඳහා සුදුසුකම් ලත් ලේකම් අයෙකු පත් කිරීමට අවශ්‍ය වේ.

As a first step of the registration of a private limited company, the proposed company name has to be reserved from the Department of Registrar of Companies. After approval of the company name, the eROC system allows to prepare and download the relevant documents. Then the relevant documents online (Articles of Association, Form 01, and Form 18 & Form 19) can be filed with the ROC. The whole process of registration can be completed within 4 or 5 days.

පුද්ගලික සීමිත සමාගමක් ලියාපදිංචි කිරීමේ පළමු පියවර ලෙස, යෝජිත සමාගමේ නම සමාගම් රෙජිස්ට්‍රාර් දෙපාර්තමේන්තුවෙන් වෙන්කරවා ගත යුතුය. සමාගමේ නම අනුමත කිරීමෙන් පසුව, eROC පද්ධතිය අදාළ ලේඛන සකස් කිරීමට සහ බාගත කිරීමට ඉඩ ලබා දේ. එවිට අදාළ ලේඛන මාර්ගගතව (සමාගම් ව්‍යවස්ථාව, පෝරමය 01, සහ 18 සහ පෝරමය 19) ROC වෙත ගොනු කළ හැකිය. ලියාපදිංචි කිරීමේ සම්පූර්ණ ක්‍රියාවලිය දින 4ක් හෝ 5ක් ඇතුළත අවසන් කළ හැක.

After registration of the company, the directors of the company are responsible for fulfilling the company’s statutory obligations. Some of the statutory obligations are as follows. /සමාගම ලියාපදිංචි කිරීමෙන් පසු, සමාගමේ ව්‍යවස්ථාපිත වගකීම් ඉටු කිරීම සඳහා සමාගමේ අධ්‍යක්ෂවරුන් වගකිව යුතුය. සමහර ව්‍යවස්ථාපිත බැඳීම් පහත පරිදි වේ.

01. The company has to obtain prior approval from the government departments for some of the business activities. (Pawn Brokering, Gem Exports etc…) සමහර ව්‍යාපාරික කටයුතු සඳහා සමාගම රජයේ දෙපාර්තමේන්තු වලින් පූර්ව අනුමැතිය ලබා ගත යුතුය. (උකස් තැරැව් කිරීම, මැණික් අපනයනය ආදිය...)

02. Open an Income Tax file for the Company/ සමාගම සඳහා ආදායම් බදු ගොනුවක් විවෘත කරන්න

03. Filing Form 15 annually with the ROC / ROC වෙත වාර්ෂිකව පෝරමය 15 ගොනු කිරීම

04. Appoint an auditor to the company/ සමාගමට විගණකවරයෙකු පත් කරන්න

05. Writing of Books of Accounts and Preparation of Financial Statements / ගිණුම් පොත් ලිවීම සහ මුල්‍ය ප්‍රකාශන සකස් කිරීම

06. Audit the Annual Financial Statements / වාර්ෂික මුල්‍ය ප්‍රකාශන විගණනය කරන්න

07. Filing Income Tax Return annually with the Department of Inland Revenue / දේශීය ආදායම් දෙපාර්තමේන්තුවට වාර්ෂිකව ආදායම් බදු වාර්තා ගොනු කිරීම
